1. Agreement to Terms

By accessing or using Vorbra ("the Service"), operated by Vorbra ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to business users who create accounts ("Account Holders") and individuals who submit testimonials through the Service ("Reviewers").

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

Vorbra provides a platform that enables businesses to collect, manage, and display customer testimonials and reviews on their websites through embeddable widgets. The Service includes:

Creation and management of testimonial collection spaces
Public-facing review submission forms
A dashboard for reviewing, approving, and managing submitted testimonials
Embeddable JavaScript widgets for displaying approved testimonials
API access for retrieving approved testimonials

3. Account Registration and Security

To use certain features of the Service, you must create an account. When creating an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and accept all risks of unauthorized access to your account
Immediately notify us of any unauthorized use of your account
Be at least 18 years of age, or have the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. Acceptable Use

You agree not to use the Service to:

Submit or solicit fake, misleading, or fraudulent testimonials
Impersonate any person or entity
Collect or store personal data of others without their consent
Upload content that is defamatory, obscene, threatening, or otherwise unlawful
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to the Service, other accounts, or computer systems
Use automated means (bots, scrapers, spiders) to access the Service without our prior written consent
Use the Service for any illegal purpose or in violation of any applicable laws
Circumvent, disable, or otherwise interfere with any security-related features of the Service
Transmit any viruses, malware, or other harmful code
Engage in any activity that places an unreasonable or disproportionately large load on our infrastructure

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms or engaged in abusive behavior.

4.1 AI-Assisted Testimonials & FTC Compliance

Our Service provides an optional AI Writing Assistant to help Reviewers draft testimonial text. AI-generated suggestions are provided as starting drafts only. Reviewers and Account Holders are strictly responsible for reviewing, editing, and verifying that all published testimonials represent genuine, accurate, and truthful customer experiences in compliance with applicable laws, including FTC Endorsement Guides (16 CFR Part 255). Vorbra explicitly disclaims liability for false, misleading, or deceptive claims published via AI-assisted tools. Account Holders must not use AI-generated drafts to fabricate testimonials from fictitious customers.

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you submit to the Service, including business names, logos, and testimonial data ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, display, and transmit Your Content solely for the purpose of providing the Service to you.

5.2 Testimonial Content

Testimonials submitted by Reviewers are provided to the Account Holder whose space they are submitted to. Account Holders are responsible for ensuring they have appropriate rights to display testimonial content on their websites. By approving a testimonial for display, the Account Holder represents that they have the right to publicly display that content.

5.3 Audio & Video Likeness License

By submitting an audio or video testimonial through the Service, Reviewers grant both Vorbra and the applicable Account Holder a worldwide, royalty-free, non-exclusive, sublicensable license to store, stream, transcode, display, reproduce, and render their voice, image, and likeness solely for the purpose of displaying the approved testimonial through the Service, embedded widgets, and the API. This license continues for as long as the testimonial exists on the platform and terminates upon deletion of the testimonial by the Account Holder or upon request by the Reviewer as described in our Privacy Policy.

5.4 Embeddable Script License

Subject to these Terms, we grant Account Holders a limited, non-exclusive, non-transferable, revocable license to embed our JavaScript code ("embed.js") on websites owned or operated by the Account Holder solely for the purpose of displaying approved testimonials collected through the Service. You shall not reverse engineer, decompile, disassemble, modify, or create derivative works of the widget code. You shall not scrape, extract, or programmatically collect data rendered by the widget except through our official API. This license terminates automatically upon termination of your account or violation of these Terms.

5.5 Our Intellectual Property

The Service, including its original content, features, and functionality (excluding Your Content), is and will remain the exclusive property of Vorbra. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6. Subscriptions and Payments

6.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans are subject to usage limitations as described on our pricing page. Paid plans provide additional features and higher or unlimited usage limits.

6.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. You agree to pay all fees associated with your subscription plan. All payments are processed through our third-party payment processor, Stripe. By providing payment information, you represent that you are authorized to use the payment method provided.

6.3 Price Changes

We reserve the right to change our subscription prices. We will provide at least 30 days' notice of any price changes. Price changes will apply at the start of your next billing cycle following the notice.

6.4 Taxes

You are responsible for any applicable taxes associated with your use of the Service, unless we are required by law to collect and remit such taxes on your behalf.

7. Cancellation and Refunds

Upon cancellation of a paid subscription, you will retain access to paid features until the end of your current billing period. After that, your account will be downgraded to the free plan. Your data will not be deleted upon downgrade, but features restricted to paid plans will become unavailable.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

You are responsible for ensuring that your use of the Service complies with all applicable data protection laws, including but not limited to GDPR, CCPA, and any other relevant regulations in your jurisdiction. This includes obtaining appropriate consent from Reviewers before collecting and displaying their testimonials.

9. DMCA and Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content available through the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent.

9.1 Filing a DMCA Notice

Your notice must include the following information:

A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
Identification of the copyrighted work claimed to have been infringed
Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material (e.g., a URL or description)
Your contact information, including address, telephone number, and email address
A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner

9.2 Counter-Notification

If you believe that your content was removed or disabled by mistake or misidentification, you may submit a counter-notification containing: (a) your physical or electronic signature; (b) identification of the material that was removed; (c) a statement under penalty of perjury that you have a good faith belief the material was removed by mistake; and (d) your contact information and consent to the jurisdiction of a federal court in your judicial district.

9.3 Repeat Infringers

We will terminate the accounts of users who are determined to be repeat copyright infringers in appropriate circumstances and at our sole discretion.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

10.1 Widget Availability & Site Performance

We do not guarantee uninterrupted, error-free rendering of embedded widgets on third-party websites. You acknowledge that widget rendering may be affected by browser settings, network latency, content delivery networks, ad-blockers, or other factors outside our control. IN NO EVENT SHALL VORBRA BE LIABLE FOR ANY LOST SALES, REDUCED CONVERSION RATES, WEBSITE PERFORMANCE DEGRADATION, OR ANY OTHER DAMAGES RESULTING FROM WIDGET DOWNTIME, LATENCY, OR RENDERING FAILURES. The embeddable widget is provided under the same "AS IS" and "AS AVAILABLE" basis as the rest of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VORBRA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vorbra and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or (d) any claim that Your Content caused damage to a third party.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard. Upon account deletion, we will delete your data in accordance with our Privacy Policy, subject to any legal retention requirements.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Vorbra regarding the use of the Service and supersede all prior agreements and understandings.
